TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

1.1 By clicking 'I Agree,' completing the registration process, accessing the Platform, or using any feature of Botrelic, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

1.2 If you do not agree to these Terms, you must immediately cease all use of the Platform and contact support@botrelic.com to close your account.

1.3 These Terms may be updated from time to time. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.

2. ELIGIBILITY

2.1 To use Botrelic, you must:

• Be at least 18 (eighteen) years of age;
• Have the legal capacity to enter into a binding contract under applicable law;
• Not be barred from using the Service under any applicable laws.

2.2 If you are accessing or using the Platform on behalf of an organization or legal entity, you represent and warrant that you have the authority to bind that organization to these Terms, and that your acceptance of these Terms constitutes acceptance by the organization.

3. ACCOUNT REGISTRATION

3.1 To access most features of the Platform, you must create an account by providing accurate, current, and complete information as prompted during registration.

3.2 You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Use a strong and unique password for your Botrelic account;
• Not share your account credentials with any third party;
• Notify us immediately at support@botrelic.com if you suspect any unauthorized access to your account;
• Accept responsibility for all activities that occur under your account.

3.3 Repsoft Technologies Private Limited reserves the right to suspend or terminate accounts where we have reason to believe that registration information is inaccurate, false, or misleading.

4. DESCRIPTION OF SERVICE

4.1 Botrelic is a cloud-hosted AI chatbot and automation SaaS platform that enables users to:

• Build, deploy, and manage AI-powered chatbots without extensive coding knowledge;
• Create and automate customer engagement and support workflows;
• Integrate chatbots with third-party tools, CRMs, websites, and messaging platforms;
• Configure knowledge bases and train chatbots on uploaded content;
• Access analytics dashboards to monitor chatbot performance and user interactions;
• Manage multi-channel communication and automation scenarios.

4.2 The Platform is provided 'as a service' on a subscription basis. We may introduce new features, modify existing functionalities, or discontinue certain features with reasonable prior notice.

5. SUBSCRIPTION AND BILLING

5.1 Subscription Plans

Botrelic offers various subscription plans as detailed on the Platform's pricing page. Features, usage limits, and pricing are subject to the selected plan.

5.2 Recurring Billing

Subscriptions are billed on a recurring basis (monthly or annually) in advance. By subscribing, you authorize Repsoft Technologies Private Limited to charge your designated payment method at the applicable rates on each billing cycle renewal date.

5.3 Taxes

All prices are exclusive of applicable taxes. Indian customers will be charged Goods and Services Tax (GST) at the prevailing rates. You are responsible for any applicable sales, use, VAT, or other taxes based on your jurisdiction.

5.4 Failed Payments

If a payment fails, we will attempt to notify you via email. If payment is not resolved within 7 (seven) days of the initial failure, we reserve the right to suspend access to your account. If payment remains outstanding for 30 (thirty) days, your account may be terminated and your data may be scheduled for deletion.

5.5 Plan Upgrades and Downgrades

You may upgrade or downgrade your subscription plan at any time through your account settings. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of the next billing cycle.

5.6 Price Changes

We reserve the right to modify our pricing with at least 30 (thirty) days' advance notice. Your continued use of the Platform after the effective date of the price change constitutes acceptance of the new pricing.

6. ACCEPTABLE USE POLICY

6.1 You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. The following activities are strictly prohibited:

• Using the Platform for any illegal, fraudulent, or unauthorized purpose;
• Sending spam, unsolicited communications, or bulk messaging in violation of applicable anti-spam laws;
• Uploading, distributing, or transmitting malware, viruses, or any malicious code;
• Using the AI features to generate abusive, defamatory, obscene, hateful, or discriminatory content;
• Infringing the intellectual property rights of any third party through your use of the Platform;
• Attempting to reverse-engineer, decompile, or disassemble any part of the Platform;
• Using automated scripts or bots to scrape, crawl, or extract data from the Platform without authorization;
• Attempting to gain unauthorized access to any part of the Platform or its underlying infrastructure;
• Using the Platform to facilitate harassment, threats, or harm to any individual or group;
• Deploying the Platform in any manner that violates the rights of end users who interact with your deployed chatbots.

6.2 We reserve the right to immediately suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

7. INTELLECTUAL PROPERTY

7.1 Company Intellectual Property

All rights, title, and interest in and to the Botrelic Platform, including its software, algorithms, AI models, user interface, design, branding, documentation, and all associated intellectual property rights, are and shall remain the exclusive property of Repsoft Technologies Private Limited. Nothing in these Terms grants you any rights to the Platform's intellectual property except the limited license described below.

7.2 Limited License to Use

Subject to your compliance with these Terms and the payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during your active subscription period.

7.3 Customer Data Ownership

You retain full ownership of all data, content, documents, and materials that you upload, input, or create through the Platform ('Customer Data'). By uploading Customer Data, you grant Repsoft Technologies Private Limited a limited, non-exclusive, royalty-free license to process and use your Customer Data solely to the extent necessary to provide the Services.

7.4 Feedback

If you provide feedback, suggestions, or recommendations regarding the Platform, you grant us the right to use such feedback without restriction or compensation.

8. AI DISCLAIMER

8.1 The Botrelic Platform utilizes artificial intelligence and machine learning technologies to power chatbot responses, automation workflows, and analytics. You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or incomplete information;
• Botrelic does not guarantee the accuracy, completeness, reliability, or fitness for purpose of any AI-generated content;
• You are solely responsible for reviewing, verifying, and validating all AI outputs before acting on them, particularly in critical, regulated, or high-stakes contexts;
• AI responses should not be relied upon as professional legal, medical, financial, or regulatory advice;
• The performance of AI features may vary based on the quality and completeness of data provided by you.

8.2 Repsoft Technologies Private Limited expressly disclaims any liability arising from your reliance on AI-generated content without appropriate verification.

9. SERVICE AVAILABILITY

9.1 We target a monthly uptime of 99% for the Botrelic Platform, excluding scheduled maintenance windows and force majeure events.

9.2 Scheduled maintenance will be communicated with at least 24 (twenty-four) hours' advance notice where reasonably practicable.

9.3 We do not guarantee uninterrupted, error-free access to the Platform and shall not be liable for any losses arising from temporary service interruptions, system outages, or technical failures.

10. TERMINATION

10.1 Termination by You

You may cancel your subscription and terminate your account at any time by following the cancellation process in your account settings or by contacting support@botrelic.com. Termination takes effect at the end of the current billing cycle.

10.2 Termination by Us

Repsoft Technologies Private Limited reserves the right to suspend or terminate your account, without refund, if:

• You breach any provision of these Terms;
• You engage in any activity that violates applicable law or the rights of third parties;
• Payment obligations remain outstanding beyond the notice period;
• We are required to do so by applicable law or regulatory authority.

10.3 Effect of Termination

Upon termination, your license to use the Platform shall immediately cease. Customer Data may be retained for 90 (ninety) days post-termination to facilitate data export, after which it will be permanently deleted, subject to our legal retention obligations.

11. DISCLAIMER OF WARRANTIES

11.1 THE BOTRELIC PLATFORM IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

12. LIMITATION OF LIABILITY

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPSOFT TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

12.2 IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE 3 (THREE) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Repsoft Technologies Private Limited, its directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or access to the Platform;
• Your breach of these Terms or applicable laws;
• Your violation of any third-party rights through your use of the Platform;
• Content or data you upload, process, or transmit through the Platform.

14. GOVERNING LAW AND JURISDICTION

14.1 These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

14.2 Any disputes, controversies, or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
